Godwin Capital Loan Notes: Which Numbered Company Holds Yours?

Godwin Capital issued loan notes through numbered companies. See how to find which one holds yours and what the public record shows for each.

Layered company records and filings arranged as an evidence archive

If you invested with Godwin Capital, first find the company named in your loan note agreement. Five companies covered in this guide have different insolvency records. Godwin Capital No. 1 Limited is in creditors' voluntary liquidation. No. 6, No. 8, No. 20 and No. 21 are in administration. You can check their statuses through the relevant Companies House records.

Your loan note agreement should identify the issuer. This matters because each company has its own legal identity, assets, debts and insolvency process. News about one Godwin Capital company does not automatically apply to the others.

InteliCo has a separate record for each company, with its own company details: Godwin Capital No. 1 Limited, Godwin Capital No. 6 Limited, Godwin Capital No. 8 Limited, Godwin Capital No. 20 Limited and Godwin Capital No. 21 Limited.

Companies House names Steven Illes and Andrew John Duncan as office holders for these five companies. They act as liquidators for No. 1 and administrators for the other four. Check the relevant official record for the latest filings and contact details.

Why does Godwin Capital have so many numbered companies?

Godwin Capital used several separate companies within its wider property business. Companies House lists each one as a separate company, with its own registration number and legal identity.

Bisnow reported on how loan-note funds were used across property businesses and related companies. The report also describes the administrators' findings about transfers between companies and the use of investor funds.

This structure matters to investors. The company that marketed an investment may not be the same company named as the borrower in the loan note agreement. The name on your documents is therefore more important than the brand alone. Two companies may share a group name but have different assets, debts and creditors.

How do I find which Godwin Capital company holds my loan note?

Start with your own documents. You do not need to guess from news reports. 1. Check your loan note agreement.

Find the full legal name of the issuer. Look for its company number in the company details or near the start of the agreement.

2. Check your subscription documents.

Review your application form, loan note certificate, information memorandum and emails from the investment provider. These may help confirm the issuer and the terms of your investment.

3. Review the security documents.

If your investment was described as secured, check which company granted the security and what assets it covers. Also check whether a security trustee acts for investors.

Do not assume that a property-backed description means you have a direct legal charge over a property.

On the Companies House charges registers, Blue Water Capital Limited and Blue Water Trustees Limited are named as security holders for several of these companies. They are named as security holders only. There is no shareholding or directorship link between them and the issuers. 4. Search Companies House.

Use the Companies House search service. Search by company name or number, then open the insolvency record and filing history.

Match the number on your agreement with the official record. If the names do not match, do not assume they refer to the same issuer.

What does administration mean, and how is liquidation different?

Administration and liquidation are different insolvency processes. Under Schedule B1 of the Insolvency Act 1986, administrators must pursue the legal purposes of administration. These may include rescuing the company or achieving a better result for creditors than an immediate winding up. During administration, the administrators review the company's finances and decide how to proceed. This may involve selling the business, realising assets or seeking another suitable outcome.

Liquidation focuses on winding up the company. A liquidator deals with its assets and liabilities and distributes available funds under the applicable rules.

For investors, neither process guarantees repayment. The result depends on the assets available, the company's debts, any valid security and the legal priority of each creditor. Read GOV.UK's administration guidance for more information. Our related guides below explain the relevant processes in more detail.

What has been reported, and what is confirmed?

On 15 August 2025, Bisnow reported that administrators had identified around £5 million in potentially recoverable assets at that stage. The report said the administrators were still investigating the group's assets and the use of investor funds.

On 21 January 2026, Bisnow reported that the investigation could take more than two years. The article said the administrators had identified £4 million to £5 million in assets that could be used to repay investors at that time. On 15 June 2026, Bisnow reported that the administrators had brought a claim valued at around £155 million concerning alleged mismanagement of Godwin Capital No. 8 Limited. The report also described freezing and proprietary injunctions obtained in May 2026.

These reports describe the position at particular dates. The £4 million to £5 million figure is not a final recovery amount. Likewise, a legal claim is not proof of liability or confirmation that money will be recovered. Before relying on any recovery estimate, check the latest administrators' report for the company concerned.

What happens next?

The administrators or liquidators will continue their work under the relevant insolvency process. They may investigate the company's affairs, deal with assets and liabilities, and report to creditors.

The timing and outcome may differ between companies. A progress report may explain what has happened, what remains outstanding and whether a distribution is expected. It may not provide a final recovery estimate.

Follow the office holder named on your company's official record. If a report does not answer a specific question, use the contact details in the report or official notice.

What can I do now?

Keep your loan note agreement, subscription documents, statements and correspondence together. Confirm the issuer's exact company name and number. Read the latest proposals or progress report for that company, and review any security documents.

Be careful with unsolicited offers to recover lost investments. The FCA's mini-bonds guidance explains that these investments can be high risk and that investors may lose all their money.

Do not pay an upfront fee to someone who promises to recover your investment without checking their credentials and the legitimacy of the offer.

How do I check the status myself?

Use the Companies House search service to find your company by name or number. Open its insolvency record and filing history. Check the latest report and the names of the appointed office holders. You can also search The Gazette's insolvency notices for appointment announcements and other formal notices.

The most important step is to check the company named in your own loan note agreement. A similar name or shared brand is not enough to establish which company owes you money.
